Commercial Facilities Services Agreement

The master agreement and commercial schedule for facilities management clients. Each client's schedule is agreed individually. The schedule below shows standard terms; each client's agreed schedule appears in their portal.

1. Parties

This agreement is between M.Campbell's Handyman Services ("MCHS", "we", "us"), a UK sole trader providing property maintenance and reactive repairs through vetted self-employed subcontractors, and [Client organisation] ("the Client").

2. Services

MCHS provides reactive repairs, planned maintenance and multi-trade property services across the Client's registered sites, carried out by vetted, insured, self-employed operatives. Regulated work (for example gas or notifiable electrical work) is only assigned to operatives holding the required registration.

3. Agreed commercial schedule

Payment terms: 30 days from invoice date.

Pre-approved spend per work order: up to £150.00 excluding VAT may proceed without further authorisation. Anything above this needs written approval from a Client manager in the MCHS Facilities portal.

Purchase orders: a PO number is required on every work order and invoice.

Target attendance: emergency within 4 hours, urgent within 24 hours, routine within 72 hours of an approved work order, subject to safe access.

4. Ordering

Work orders are raised by authorised Client users through the portal. Site users may report issues; only a Client manager's approval turns a report into a chargeable MCHS work order.

5. Prices & invoicing

Prices are fixed where the scope is known, a stated range where genuine variables exist, or a diagnostic visit where the fault is unknown. Invoices include reports where required and are issued through the portal. Late payments may attract interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.

6. Insurance & compliance

MCHS holds public liability insurance of £5,000,000 and employers' liability insurance of £10,000,000. Certificates are available on request. MCHS operates health and safety, RAMS, COSHH, environmental, lone-working, working-at-height and supply-chain vetting controls.

7. Client responsibilities

The Client will provide safe access, accurate site information, and tell MCHS of known hazards including asbestos, structural issues, restricted areas and tenant access arrangements before work starts.

8. Warranty

Workmanship is guaranteed for 12 months from completion. This does not cover pre-existing defects, wear and tear, misuse, tenant damage or materials supplied by the Client.

9. Liability

Neither party limits liability for death or personal injury caused by negligence, or for fraud. Otherwise, MCHS's total liability under each work order is limited to the value of that work order, and neither party is liable for indirect or consequential loss.

10. Data protection

Each party complies with UK GDPR. MCHS processes site, tenant and contact data only to deliver the services, and operatives receive only the details needed for each job.

11. Term & ending

This agreement continues until ended by either party on 30 days' written notice. Approved work orders in progress will be completed and invoiced. Changes to the commercial schedule take effect once re-signed by a Client manager.

12. Law

This agreement is governed by the law of England and Wales.
